1. Introduction

These Terms of Service govern access to and use of AI Business OS, a business software platform developed and operated by MAIVIZEN LTD.

By accessing or using AI Business OS, you agree to these Terms on behalf of the business or organisation for which you are using the service.

If you are using AI Business OS on behalf of a business or organisation, you confirm that you are authorised to act on its behalf and to agree to these Terms.

3. Business use

AI Business OS is intended for business and professional use.

Businesses may use the service to support activities such as customer management, communication management, business operations and, where available and enabled, AI-assisted work.

The business using AI Business OS remains responsible for how it uses the service and for ensuring that its activities comply with applicable law and any obligations it has to its own customers, users or other individuals.

4. Workspaces

AI Business OS is organised around Workspaces.

A Workspace represents the environment in which a business manages its authorised users, customer records, conversations, connected services and other business information.

Each business is responsible for:

  • ensuring that information associated with its Workspace is accurate where required;
  • controlling who is authorised to access its Workspace;
  • assigning appropriate roles and permissions;
  • removing or changing access when it is no longer appropriate.

Workspace access must not be shared with unauthorised persons.

5. User accounts and access

Individuals authorised by a business may be given access to a Workspace.

Users are responsible for maintaining the security of their access credentials and for activities carried out through their authorised account.

Users must not:

  • disclose credentials to unauthorised persons;
  • attempt to access another Workspace without permission;
  • circumvent access controls;
  • impersonate another user;
  • use another person's account without authorisation.

Businesses should notify MAIVIZEN LTD if they become aware of unauthorised access or another security issue affecting their use of AI Business OS.

6. Customer and business information

A business may enter, import, receive or generate information through its use of AI Business OS.

The business retains its rights in the information that it supplies to the service.

The business authorises MAIVIZEN LTD to process that information only to the extent reasonably necessary to provide, secure, maintain and support AI Business OS and to perform activities otherwise described in these Terms or our Privacy Policy:

The business is responsible for ensuring that it has the rights, permissions and lawful basis necessary to provide or process information through AI Business OS.

7. Connected communication services

AI Business OS may allow a business to connect supported third-party communication services.

These may include services operated by Meta Platforms and other supported providers.

A business must only connect an account, Page, channel or other service that it is authorised to manage.

The business remains responsible for its relationship with the relevant third-party provider and for complying with that provider's applicable terms, policies and technical rules.

8. Facebook and Meta-connected services

Where supported, a business may choose to connect a Facebook Page or another Meta service through Meta's authorisation process.

MAIVIZEN LTD does not ask businesses to provide their Facebook passwords and does not take ownership or control of a connected Page.

The permissions available to AI Business OS depend on the permissions granted by the business and made available by Meta.

Meta may change its APIs, permissions, policies, technical requirements or availability independently of MAIVIZEN LTD.

Such changes may affect the operation or availability of a connected feature.

9. Authorisation credentials

Third-party services may issue access tokens or other authorisation information that allows AI Business OS to operate an authorised connection.

Where such credentials are provided to AI Business OS, the business authorises MAIVIZEN LTD to use them only as necessary to operate the relevant connection.

Businesses must not provide third-party passwords where the relevant service supports an authorised connection method instead.

Connections may stop working if credentials expire, are revoked, become invalid, or if the third-party provider changes or restricts the relevant permission.

10. Communications through connected services

AI Business OS may allow authorised business users to receive, organise and respond to communications through supported connected services.

The business is responsible for the content of communications sent by or on behalf of the business.

The business must ensure that its communications comply with:

  • applicable law;
  • the rules of the relevant communication provider;
  • any applicable requirements concerning consent, marketing, messaging or electronic communications;
  • the rights of the individuals receiving those communications.

MAIVIZEN LTD does not authorise businesses to send unlawful, deceptive, abusive or unauthorised communications.

11. AI-enabled functionality

AI-enabled capabilities are being developed as part of AI Business OS.

Where available, such capabilities are intended to be optional and controlled by the business.

A business may be able to select or configure an AI provider for particular AI-enabled functions.

Where a business enables an AI-enabled capability, information necessary for that function may be processed using the selected provider or configuration.

AI Business OS does not automatically process every message.

12. AI output and human responsibility

AI-generated or AI-assisted output may be incomplete, inaccurate or unsuitable for a particular purpose.

Businesses remain responsible for deciding whether and how AI-assisted output is used.

Where appropriate, businesses should review AI-assisted output before relying on it or using it in communications, decisions or business processes.

AI-enabled functionality is intended to assist business operations and does not replace professional judgement where professional judgement is required.

13. Third-party services

AI Business OS may depend on or interact with third-party services, infrastructure, APIs or software.

Third-party services operate independently under their own terms and policies.

MAIVIZEN LTD does not control and cannot guarantee the continued availability, functionality or behaviour of third-party services.

A third-party provider may suspend, restrict, modify or discontinue its service or its integration capabilities at any time.

MAIVIZEN LTD may modify or discontinue an affected integration where necessary as a result.

14. Acceptable use

You must not use AI Business OS:

  • for unlawful or fraudulent activities;
  • to infringe the rights of another person or organisation;
  • to distribute malicious software or harmful code;
  • to gain or attempt to gain unauthorised access to systems, accounts or information;
  • to interfere with or disrupt the security, integrity or operation of the service;
  • to bypass technical restrictions or access controls;
  • to conduct abusive, deceptive or unauthorised messaging;
  • to use connected services in violation of the relevant provider's rules;
  • in a manner that could reasonably damage AI Business OS, MAIVIZEN LTD or other users of the service.

MAIVIZEN LTD may take reasonable action where use of the service creates a material security, legal or operational risk.

15. Security

MAIVIZEN LTD applies technical and organisational measures intended to protect AI Business OS and the information processed through the service.

However, no internet-based service or electronic storage system can be guaranteed to be completely secure or continuously available.

Businesses remain responsible for maintaining appropriate security practices for their own systems, devices, accounts and authorised users.

MAIVIZEN LTD does not claim any security certification or regulatory accreditation.

16. Service availability

MAIVIZEN LTD aims to operate AI Business OS reliably, but uninterrupted or error-free availability is not guaranteed.

The service may occasionally be unavailable because of:

  • maintenance;
  • technical faults;
  • security measures;
  • infrastructure failures;
  • third-party service failures;
  • changes to external APIs;
  • circumstances outside MAIVIZEN LTD's reasonable control.

Unless expressly agreed separately in writing, these Terms do not create a guaranteed service level or uptime commitment.

17. Changes to the service

AI Business OS is an evolving software platform.

MAIVIZEN LTD may add, modify, replace or remove features as the service develops.

Changes may also be required because of security requirements, legal requirements, technical constraints or changes made by third-party providers.

Where reasonably practicable, MAIVIZEN LTD will seek to avoid unnecessary disruption to existing business use.

18. Trial, free and paid access

AI Business OS may be made available through free access, trial access, paid access or another commercial arrangement.

The availability and conditions of any particular plan, trial, subscription or commercial arrangement will be communicated separately.

Where fees apply, the applicable pricing, billing and payment terms will be those presented or agreed for the relevant service arrangement.

Nothing in these Terms creates a promise that a particular free or trial service will remain available indefinitely.

19. Intellectual property

AI Business OS, including its software, interface, design, documentation, branding and related materials, is owned by or licensed to MAIVIZEN LTD and is protected by applicable intellectual-property laws.

Except for the limited right to use the service in accordance with these Terms, no ownership rights in AI Business OS are transferred to the business or its users.

Businesses and users must not, except where permitted by applicable law or expressly authorised by MAIVIZEN LTD:

  • copy or reproduce the service;
  • modify or create derivative versions of the service;
  • reverse engineer or attempt to extract source code;
  • remove ownership or attribution notices;
  • sell, sublicense or commercially redistribute access to the service as their own product.

20. Feedback

Businesses and users may choose to provide suggestions, comments or other feedback about AI Business OS.

MAIVIZEN LTD may use such feedback to improve or develop its products and services.

Providing feedback does not transfer ownership of a business's confidential information or customer information to MAIVIZEN LTD.

21. Suspension and termination

A business may stop using AI Business OS and may disconnect supported third-party services, subject to any separate commercial agreement that applies.

MAIVIZEN LTD may suspend or restrict access where reasonably necessary to:

  • protect the security or integrity of the service;
  • investigate suspected misuse;
  • respond to unlawful activity;
  • comply with a legal obligation;
  • address a material breach of these Terms;
  • prevent material harm to MAIVIZEN LTD, another user or a third party.

Where reasonably practicable, MAIVIZEN LTD will seek to provide notice before a material suspension unless immediate action is required for security, legal or operational reasons.

22. Data after termination

The handling of personal information following termination or disconnection is governed by the applicable circumstances, the relevant business relationship and our Privacy Policy.

Some information may need to be retained for a limited period for purposes such as:

  • security;
  • fraud prevention;
  • dispute resolution;
  • legal compliance;
  • audit and record-keeping;
  • backup and recovery processes.

Information that is no longer required may be deleted, anonymised or otherwise removed in accordance with the applicable retention process.

23. Disclaimers and liability

AI Business OS is provided as a business software service.

To the extent permitted by applicable law, MAIVIZEN LTD does not guarantee that the service will:

  • always be available;
  • operate without interruption or error;
  • meet every business requirement;
  • remain compatible with every third-party service;
  • produce accurate or appropriate AI-assisted output in every case.

MAIVIZEN LTD is not responsible for losses caused solely by the independent acts, omissions, outages or changes of a third-party provider outside MAIVIZEN LTD's reasonable control.

To the extent permitted by applicable law, MAIVIZEN LTD will not be liable for indirect or consequential losses arising from use of the service.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability that cannot lawfully be excluded or limited under applicable law.

24. Governing law

These Terms are governed by the laws of England and Wales, subject to any mandatory law that applies.

Any dispute relating to these Terms or AI Business OS will be subject to the jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.

25. Changes to these Terms

MAIVIZEN LTD may update these Terms from time to time to reflect changes to AI Business OS, applicable requirements or the way the service operates.

The version published on this page is the current version.

When these Terms change, the updated version will be published on this page.
